Welcome to LensHQ!

These Terms and Conditions ("Terms") govern your access to and use of the LensHQ service ("Service"), provided by Oliver Wheatley trading as LensHQ ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. About the Service

LensHQ is a data analytics platform designed for basketball clubs. We aggregate and analyze data provided by you, the user, and data retrieved from third-party sources to provide insights into team and player performance.

Legal Status: LensHQ is operated as a Sole Trader business in the United Kingdom.

2. Third-Party Services (PlayHQ)

Our Service utilizes data retrieved from PlayHQ via their open APIs.

  • No Affiliation: LensHQ is an independent project and is not affiliated, associated, authorized, endorsed by, or in any way officially connected with PlayHQ, or any of its subsidiaries or affiliates.
  • Third-Party Terms: Your use of PlayHQ data is subject to PlayHQ's own Terms of Service. By using LensHQ, you acknowledge and agree that we are not responsible for the availability or accuracy of data provided by PlayHQ.
  • Service Changes: If PlayHQ changes their API, restricts access, or ceases operations, LensHQ may be unable to provide some or all of its analytics. We bear no liability for interruptions caused by changes to third-party services.

3. Access and Use

  • License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal or internal club analysis purposes.
  • Cost: The Service is currently provided free of charge.
  • Voluntary Donations: We accept voluntary donations to support the maintenance and development of the project. Donations are non-refundable and do not entitle the donor to special treatment, ownership, or exclusive features unless explicitly stated otherwise.
  • Prohibited Use: You agree not to misuse the Service. You must not attempt to reverse engineer the code, burden our servers with excessive requests, or use the data for unlawful purposes.

4. Intellectual Property

  • Our IP: All rights, title, and interest in and to the Service (excluding content provided by users or third parties) are and will remain the exclusive property of LensHQ. This includes our proprietary analytics algorithms and the design of the platform.
  • Your Data: You retain all rights to the data you input into the Service. By submitting data, you grant us a license to use that data solely for the purpose of providing the analytics service to you.

5. Data Privacy

We take your privacy seriously. Our collection and use of personal information are governed by our separate Privacy Policy, which is incorporated into these Terms by reference.

  • UK GDPR Compliance: As a UK-based business, we process personal data in accordance with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR).
  • Consent: By using the Service, you consent to such processing and you warrant that all data provided by you is accurate.

6. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

  • Passion Project: LensHQ is maintained as a passion project. While we strive for accuracy, we make no warranties, expressed or implied, regarding the reliability, accuracy, or completeness of the analytics provided.
  • No Professional Advice: The insights provided by LensHQ are for informational purposes only. They do not constitute professional coaching or management advice.
  • Beta Nature: The Service may contain bugs or errors. We do not guarantee that the Service will function without interruption or errors.

7. Limitation of Liability

To the fullest extent permitted by applicable law in the United Kingdom:

  1. Indirect Damages: In no event shall LensHQ (or its operator) be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
  2. Data Accuracy: We are not liable for decisions made based on the data analytics provided, specifically including inaccuracies stemming from third-party data sources (PlayHQ).

8. Indemnification

You agree to defend, indemnify, and hold harmless LensHQ and its operator from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to solicitor's fees) arising from:

  • Your use of and access to the Service;
  • Your violation of any term of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Modifications to Terms and Service

  • Service Changes: We reserve the right to withdraw or amend the Service at any time without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
  • Terms Changes: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
